Mastermind Cohort Agreement

This Mastermind Cohort Agreement (the "Agreement") governs your purchase of a seat in the Sovereign Agentic Employee Mastermind, a two-day cohort working session hosted by Prospectr Marketing Inc., a Minnesota corporation doing business as Prospectr Digital ("Prospectr"). By completing a seat purchase -- through this website, a Stripe payment link, or any other channel -- you ("Attendee") agree to this Agreement.
This Agreement also incorporates the Prospectr Terms of Service and Privacy Policy by reference. For Sovereign Agent DFY deployment and Implementation Retainer terms, see the Sovereign Purchase & Engagement Agreement.
1. Parties
Host: Prospectr Marketing Inc., dba Prospectr Digital, a Minnesota corporation. Principal place of business: 3508 W 22nd St, Minneapolis, Minnesota 55416, USA. Contact: travis@prospectrdigital.com.
Attendee: the individual who purchases a seat or whose seat is purchased by their employer. By purchasing, the purchaser represents that they are at least 18 years old and, if purchasing on behalf of a company, are authorized to bind that company.
2. Event and program scope
The Sovereign Agentic Employee Mastermind is a two-day working session. Current scheduled dates: July 16-17, 2026, in Grand Haven, Michigan. Venue details will be provided to registered attendees no later than 30 days before the event.
Founding cohort: the first 8 operator seats are founding seats, available at the founding rate. Once all 8 founding seats sell, subsequent seats are sold at the standard rate. Teammate seats (one per paid operator attendee) are available at a separate rate.
What each seat includes:
- Two full working days at the Mastermind venue, including all sessions, working blocks, and facilitated implementation time.
- Hands-on deployment assistance for your Sovereign Agent in your own AWS, Google Workspace or Microsoft 365, and Telegram environment, performed live during the event.
- All printed and digital materials distributed during the event (playbooks, prompt libraries, runbooks).
- Recorded video of the general sessions, made available to you for personal reference after the event.
- Day 2 working lunch and Day 2 closing reception.
- Access to the cohort communication channel for 90 days after the event for implementation follow-up questions.
What each seat does not include:
- Travel to and from Grand Haven, Michigan.
- Lodging (Prospectr will recommend hotel options).
- Day 1 dinner (group options will be suggested; cost is on Attendee).
- Ongoing maintenance of the Sovereign Agent deployment after the event -- that is the optional Implementation Retainer, governed by the Sovereign Purchase & Engagement Agreement.
- One-on-one consulting outside of scheduled Mastermind hours.
3. Fees and payment
All prices are quoted in U.S. dollars and are due in full at the time of purchase. Payment is processed by Stripe; Prospectr does not store full card information. Current founding rates:
- Founding Operator Seat: $5,000 (one-time)
- Founding Teammate Seat: $4,000 per additional teammate (one per paid operator seat)
Standard rates (after founding cohort sells out):
- Operator Seat: $7,500 (one-time)
- Teammate Seat: $6,000 per additional teammate
The rate applicable to Attendee is the rate displayed and confirmed at the time of purchase. Founding rates are locked for founding cohort purchasers regardless of subsequent rate changes.
4. Cancellation and refunds
The following refund schedule applies exclusively to Mastermind cohort seats. It does not apply to Sovereign Agent DFY deployments or Implementation Retainer engagements.
- 30 or more days before the event start date: full refund, no questions asked.
- 15 to 29 days before the event start date: 50% credit toward a future Prospectr event within 12 months. No cash refund.
- 14 days or fewer before the event start date: no refund and no credit.
- Seat transfers: Attendee may transfer their seat to another individual at the same company at no cost at any time before the event. Transfers to a different company require Prospectr's prior written consent.
- If Prospectr cancels the event (force majeure, insufficient enrollment, venue failure, or similar): every registered attendee receives a full cash refund or, at the attendee's option, a credit of equal value toward a future Prospectr event.
5. Prerequisites
The Mastermind is a working session, not a lecture. To get full value from your seat, arrive on Day 1 with all of the following in place:
- AWS: an account in your name or your company's name with admin (root or AdministratorAccess) credentials and a payment method on file.
- Workspace: super-admin access to your Google Workspace or Microsoft 365 tenant.
- Telegram: a Telegram account on the device you will bring, with the ability to add a bot.
- Laptop: a working laptop with administrative rights and the ability to run a terminal/SSH session.
If you arrive without these, Prospectr will do its best to help you set them up on Day 1, but the time spent doing so reduces deployment time for the rest of the cohort. Prospectr strongly recommends completing prerequisites before you travel.
6. Confidentiality and cohort NDA
Sovereign cohorts work because operators share real numbers and real architecture. By purchasing a seat and attending, Attendee agrees:
- Attendee will not disclose another cohort member's revenue, margins, customer list, organizational details, proprietary workflows, or strategy outside the cohort without that member's prior written permission.
- Attendee will not record (audio, video, screen capture, or otherwise) any portion of the Mastermind that involves another cohort member's private business information.
- Attendee will not redistribute official Prospectr session recordings, playbooks, prompts, or written materials beyond personal reference use. These materials are licensed to Attendee for personal use only.
- Prospectr likewise will not disclose Attendee's business information shared during the Mastermind to other cohort members or third parties without Attendee's consent, except as required by law.
This mutual confidentiality obligation covers all information disclosed during and after the event and survives termination of this Agreement for three (3) years.
7. Photography and marketing
Prospectr may photograph and record general sessions for marketing and educational purposes. By attending, Attendee grants Prospectr permission to use Attendee's name, likeness, and quoted feedback in promotional materials related to the Mastermind, unless Attendee opts out in writing before the event by emailing travis@prospectrdigital.com with the subject line "OPT OUT - Mastermind Marketing." Opting out does not affect any other part of Attendee's seat.
8. Conduct
The Mastermind is a professional working environment. Prospectr reserves the right to remove any attendee whose conduct disrupts the event, harasses other attendees, or violates applicable law, without refund.
9. Intellectual property
The Sovereign Agent architecture, Mastermind curriculum, proprietary prompts, playbooks, code patterns, and operating procedures presented at the Mastermind are and remain the intellectual property of Prospectr Marketing Inc. Attendee receives a non-exclusive, non-transferable license to use them inside Attendee's own business for the purpose for which they were delivered. Attendee may not resell, sublicense, or repackage Prospectr's methodology, recordings, or written materials, and may not use them to build a competing product or training program.
10. Disclaimers
The Mastermind is provided "as is." Prospectr does not guarantee any specific revenue increase, headcount reduction, lead volume, time savings, or other business outcome. Operating an autonomous agent in your business carries real risk; supervision and oversight remain Attendee's responsibility at all times.
11. Limitation of liability
To the maximum extent permitted by law, Prospectr's total liability arising out of or related to this Agreement is limited to the amount Attendee actually paid for the seat. In no event will Prospectr be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of business opportunity.
12. Dispute resolution
This Agreement is governed by the laws of the State of Minnesota, U.S.A., without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute through good-faith negotiation for at least 30 days after one party provides written notice of the dispute to the other. Any dispute not resolved through negotiation will be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be seated in Hennepin County, Minnesota. Each party bears its own costs unless the arbitrator awards otherwise. Either party may seek injunctive relief in a court of competent jurisdiction in Hennepin County, Minnesota for misuse of intellectual property or breach of confidentiality.
13. Entire agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Attendee and Prospectr regarding the Mastermind seat and supersedes any prior verbal or written communications on the same subject. If any provision is held unenforceable, the remaining provisions remain in full effect. Prospectr may update this Agreement; material changes will be posted with a new "Last updated" date and will not reduce rights tied to purchases already made.
14. Signature
By completing a seat purchase or signing below, Attendee acknowledges that they have read, understood, and agree to this Agreement. Electronic signatures are valid and binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Minnesota Uniform Electronic Transactions Act (MUETA).
